Thank you for visiting torchable.com (the “Site”), owned and operated by Torrch LLC. By using the Site, mobile app, or software (collectively the “Services”), you agree to these Terms and Conditions, the Privacy Policy, and Cookie Policy. These documents collectively form the “Agreement.”

Key Requirements: You must be at least 18 years old to create an account, or at least 13 years old with verifiable consent from a parent or legal guardian. Accounts may not be created by or for anyone under 13. Torrch reserves the right to modify these Terms at any time, with changes effective upon posting. Material changes will be notified via email.

Important Notice: If you do not agree to this Agreement, you may not use the Services and must delete any account you have created.

1.1 License

Torrch grants you a temporary, limited, non-exclusive, revocable, non-transferable, and non-sublicenseable license to use the Site, Services, and Software. Torrch may upgrade, modify, or change the Services at any time in its sole discretion.

1.2 Your Obligations

You must abide by all rules Torrch publishes regarding use of the Services, Site, and Software. You agree to follow all local, state, federal, and international laws. Torrch reserves the right to deny you access if you violate this Agreement.

1.3 Compatibility and Equipment

You are solely responsible for providing and maintaining all hardware, software, and other physical requirements necessary to access the Site and Software, including telecommunications and internet connections.

1.4 Authorization and Ownership

You represent that any User Content you upload, post, or share is either owned by you or that you have the legal right to provide it. You grant Torrch a limited, royalty-free, transferrable, sub-licensable, non-exclusive, worldwide license to host, copy, use, modify, publicly perform or display, and distribute such User Content as part of the Services.

You agree to indemnify, hold harmless, and defend Torrch from any claims that your User Content infringes third-party rights.

1.5 Accurate Information

You represent that all information and documents you provide are accurate, truthful, and authentic. You agree not to falsely impersonate any third-party. Any comments, opinions, reviews, or statements you make must be truthful and, when regarding third parties, based on first-hand knowledge.

1.6 Suspension

Torrch may suspend your access if necessary to preserve security and proper operation of the Services, if you violate the Agreement, or if any information you provided is false, misleading, or deceptive.

1.7 Deleting Your Account

You may delete your account by sending a request to support@torchable.com.

2.1 Availability

Membership may be required to access certain opportunities and capabilities. Membership is available to individuals who are at least 18 years old, and to individuals who are at least 13 years old and have verifiable consent from a parent or legal guardian. Membership is not available to anyone under 13. Torrch may offer different types of memberships to individuals or organizations.

2.2 Paid Memberships

Fees:

You agree to pay all applicable subscription fees as set forth at torchable.com/pricing/ and any other agreed-upon charges (“Fees”). The customer agrees to pay all charges incurred before termination. Refunds will not be issued unless required by law. This payment obligation survives termination for any reason.

Payment and Automatic Payment:

Payment information may be processed through a third-party payment processor. All paid account holders must maintain at least one valid payment method. Fees are calculated and billed monthly and are due immediately upon receipt. Charges occur on the monthly anniversary of the initial purchase date, or the last day of the month if the anniversary date doesn’t exist.

2.3 Information Sharing

By creating an account, you authorize Torrch to share certain aspects of your member profile and other information with other members and third-parties to provide the Services.

2.4 Required Information

Certain aspects of the Site and Services may require additional information. Your use may be limited if you choose not to provide certain requested information.

2.5 No Endorsement or Control by Torrch

You may have the option to connect with third-party individuals, businesses, organizations, or providers to obtain goods or services. Torrch does not monitor, review, evaluate, or control the goods or services offered by any third party. Torrch merely provides the Site and Services as a network and referral service.

2.6 Church and Organization Integrations

When you select a church or organization on your profile that uses integrated church management tools (such as Planning Center), your basic profile information, including your name and email address, may be automatically shared with that church or organization’s management platform. This enables the church or organization to maintain accurate membership records and provide you with a better experience. By selecting a church or organization on your Torchable profile, you consent to this sharing of your basic profile information with that church or organization.

The Site, Software, and Services are intended for your personal use only. You agree not to:

1. Reproduce, duplicate, copy, rent, sell, resell, or exploit the Site or Software, or their contents for any purpose without Torrch’s express written consent
2. Delete or alter any copyright, trademark, or other proprietary rights notices from materials obtained from Torrch
3. Use the Site in any manner that infringes upon or violates the copyright, patent, trademark, or trade secret rights of another party
4. Upload, post, or send communications for commercial solicitation or political campaigning; any harmful, threatening, abusive, harassing, vulgar, obscene, racist, sexually explicit, profane, hateful, defamatory, libelous, or unlawful content; or material that encourages criminal conduct or violates applicable law
5. Upload, post, or transmit viruses, trojan horses, or other malicious code
6. Engage in any other activity deemed by Torrch to conflict with the spirit or intent of this Agreement

You agree not to take any action that infringes on others’ rights, violates the law, or breaches any contract or legal duty.

4.1 Our Commitment

Torchable is committed to creating a safe environment for all users. We have zero tolerance for child sexual abuse material (CSAM) or any form of child sexual abuse and exploitation (CSAE) on our platform. We actively work to prevent, detect, and respond to any such content or behavior.

4.2 Age Requirement

You must be at least 18 years old to create an account, or at least 13 years old with verifiable consent from a parent or legal guardian. Accounts may not be created by or for anyone under 13. By creating an account, you affirm that you meet this requirement. If we become aware that an account was created by or for someone under 13, we will promptly terminate that account and delete associated data in accordance with applicable law, including the Children’s Online Privacy Protection Act (COPPA) and similar regulations.

These age requirements apply to people who create and hold accounts. The Services also store records about individuals of any age, including children, where a customer church or organization chooses to add them, for example when importing a membership directory. Those individuals are not account holders and have not agreed to these Terms. The customer organization is responsible for the basis on which it provides that information to us.

4.3 Prohibited Content and Conduct

The following is strictly prohibited on Torchable:

• Any content that sexually exploits or endangers minors, including child sexual abuse material (CSAM)
• Solicitation, grooming, or any communication intended to sexually exploit a minor
• Sharing, distributing, or requesting imagery or content depicting the sexual abuse or exploitation of minors
• Any content that sexualizes minors, including AI-generated or digitally manipulated imagery
• Sextortion or any attempt to coerce a minor through threats involving intimate imagery
• Trafficking or promoting the sexual exploitation of minors in any form
• Any attempt by a person under 13 to access or use the platform, or by anyone aged 13 to 17 to use the platform without verifiable consent from a parent or legal guardian
• Creating an account on behalf of a person under 13, creating an account for a 13 to 17 year old without verifiable parent or legal guardian consent, or misrepresenting anyone’s age to circumvent the age requirement

4.4 Prevention Measures

Torchable employs the following measures to prevent CSAE on our platform:

• Age Gate: Account holders must be at least 18 years old, or at least 13 years old with verifiable consent from a parent or legal guardian. Accounts discovered to have been created by or for anyone under 13 are removed from the platform.
• Automated Crisis Detection: Messages sent to Torchable AI on the Torchable website, and messages sent to the Welcome Desk chat a church has added to its own website, are checked by an automated, rule-based system before the assistant responds. If that check finds indications of self harm or crisis in what the person wrote, it alerts a person at that person’s organization. This check runs only in those two places. It is not a scan of conversations between members, and it does not detect abuse, harassment, or spam.
• Human Review: Administrators at each church or organization moderate content within their own organization, and Torchable staff review and act on reports they receive.
• User Reporting: Users can report suspected CSAE content, underage users, or inappropriate behavior directly through our in-app reporting features or by contacting our team at safety@torrch.com.
• Account Restrictions: Accounts found to be in violation of these standards are immediately suspended and permanently banned.

4.5 Detection and Reporting

• We identify prohibited content and conduct when it is reported to us or otherwise comes to our attention, whether through a user report, a report from a church or organization that uses the Services, or our own staff. Content confirmed to be prohibited is removed and the responsible account is terminated.
• All confirmed CSAM is reported to the National Center for Missing & Exploited Children (NCMEC) through their CyberTipline, as required by U.S. federal law (18 U.S.C. 2258A).
• We cooperate fully with law enforcement agencies investigating CSAE, in compliance with applicable laws.
• We report to relevant regional and national authorities as required by local laws in the jurisdictions where we operate.

4.6 Enforcement

When we identify or receive a report of CSAE content or conduct:

1. Immediate Removal: The content is removed immediately upon detection or confirmation.
2. Account Action: The offending account is immediately suspended and permanently banned from the platform.
3. Evidence Preservation: Relevant data is preserved in accordance with legal requirements for law enforcement purposes.
4. Mandatory Reporting: A report is filed with NCMEC and, where applicable, relevant law enforcement authorities.
5. Notification: Where legally permitted, we may notify affected users or parents/guardians.

4.7 In-App Reporting

Users who encounter suspected CSAE content, underage users, or inappropriate behavior on Torchable can report it through:

• In-App Reporting: Use the report function available on any content, profile, or message within the app
• Email: Contact our team at safety@torrch.com
• Emergency: If a child is in immediate danger, contact local law enforcement or call 911 (U.S.)

All reports are reviewed promptly and treated with the highest priority.

4.8 Contact

If you create an account, you choose a username and password. You are solely responsible for all activity on your account and for keeping your login information confidential. You must not share or transfer your profile or account information with any third-party.

You agree to bear all responsibility for your password confidentiality and all account activities. If you suspect unauthorized account use, immediately report it to help@torrch.com.

Use particular caution when accessing your account from public or shared computers. Torrch reserves the right to disable any account at any time, particularly where abuse or misuse is suspected.

Torrch uses your information only as described in the Privacy Policy. The company understands the importance of protecting personal information, but if you object to information being transferred or used as described in the Privacy Policy, you may not use the Site, Software, or Services.

If you download or use the Software or create an account through it, you agree to be bound by this Agreement. You must have a compatible device to use the Software.

You may not:

• Modify, disassemble, decompile, reverse engineer, or create derivative works
• Rent, lease, loan, resell, sublicense, distribute, or transfer the Software
• Copy, reproduce, republish, upload, post, transmit, or distribute the Software
• Remove, circumvent, disable, damage, or interfere with security features

Torrch may issue upgraded versions and automatically upgrade the Software on your device. You consent to automatic upgrading, and this Agreement applies to all upgrades. Standard carrier data charges may apply.

The Site, Software, and Services are protected through copyrights, trademarks, service marks, patents, trade secrets, and other laws. You agree to respect all copyright and legal notices contained in any content accessed through the Site or Services.

You agree not to copy, reproduce, modify, distribute, create derivative works, or publicly display the Site or Services without Torrch’s prior express written permission. Except for the limited license identified in Section 1, nothing in this Agreement grants or confers any right, title, or interest to any trademark, copyright-protected work, or intellectual property.

The Services allow communication and information sharing with other individuals and organizations not affiliated with Torrch. All statements, opinions, and content from third-parties are solely their responsibility.

Torrch cannot guarantee the truthfulness of information received from members. Torrch is not responsible or liable for the content or accuracy of material provided by members or other third-parties. Links to other websites likely have different terms of service and privacy policies. Torrch is not responsible for third-party content.

All rights not expressly granted in this Agreement are reserved by Torrch, including:

• Making changes to the Site, Software, and Services without notice
• Changing membership criteria and responsibilities at any time
• Editing or removing any content at any time for any reason
• Refusing service and suspending or terminating accounts in its sole discretion
• Declining to offer the Site, Software, and Services at any time

You agree Torrch is not liable for damages resulting from these actions.

11.1 Availability

You agree that the Services, Site, and Software may be inaccessible or inoperable for any reason, including equipment malfunctions, periodic maintenance, or causes beyond Torrch’s control.

11.2 Recommendations from Churches and Other Independent Organizations

You may hear about Torrch from churches or other third-party religious organizations, or interact with such organizations through the Services. Such parties are independent from Torrch with no formal connection or control. These organizations are not responsible for Torrch’s actions or the actions of other members.

11.3 No Responsibility for Third-Party Actions or Statements

Torrch’s Site, Services, and Software assist you in connecting with other people or entities. Torrch is not responsible for third-party actions, statements, or omissions. Torrch relays third-party information but is not responsible for its accuracy or content.

Torrch does not directly employ businesses, service providers, or professionals found through the Services. The Services provide a network to locate and connect with individuals and providers.

The appearance of any individual, business, organization, or third party on the Site does not constitute any recommendation or endorsement by Torrch.

11.4 No Warranties

Torrch tries to keep the Site, Software, and Services working, error-free, and safe but cannot guarantee secure, uninterrupted, or error-free access or use.

11.5 Disclaimer of Warranties

Torrch, its affiliates, licensors, service providers, employees, agents, officers, or directors will not be liable for any damages arising from your use of or inability to use the Site, Software, Services, or any third-party content, including direct, indirect, special, incidental, consequential, or punitive damages. This includes personal injury, emotional distress, loss of revenue, profits, business opportunity, business interruption, loss of use, goodwill, or data, whether caused by tort, breach of contract, or otherwise, even if foreseeable.

These exclusions or limitations apply regardless of whether Torrch has been warned of possible damages.

The foregoing does not affect any liability that cannot be excluded under applicable law. To the extent liability cannot be excluded, Torrch’s liability for any claim shall not exceed the amount actually paid by you to Torrch under this Agreement in the 12 months preceding any such claim.

You agree to indemnify, hold harmless, and defend Torrch, its agents, officers, directors, employees, successors, assigns, and affiliates from any action, claim, damage, debt, demand, or liability, including reasonable costs and attorneys’ fees, arising from:

• Use of the Site, Services, or Software by you or anyone using your account
• Your breach of the Agreement or anyone using your account
• Any information used, stored, or transmitted in connection with your account
• Breach of any third-party rights, including privacy, publicity, intellectual property, or other proprietary rights

You acknowledge that Torrch has the right to:

• Monitor your use of the Site, Software, and Services to ensure compliance
• Take any action regarding use deemed inappropriate in its sole discretion
• Take appropriate legal action, including referral to law enforcement or disclosure of your identity for illegal or unauthorized actions

15.1 Term

This Agreement is effective upon your acceptance and continues in full force until terminated. The Agreement automatically terminates if you delete your account. If you terminate before the renewal date, Torrch does not provide prorated refunds for the remainder of the month.

15.2 Termination by You

You may terminate by sending an email to help@torrch.com or by deleting your account through profile settings.

15.3 Termination or Suspension by Torrch

Torrch may terminate this Agreement and your account or suspend your access:

• For any reason by providing written notice to your email address on file
• Upon any breach of the Agreement
• If you take actions or make statements deemed threatening, dangerous, inappropriate, or posing harm or risk to Torrch, the Site, Software, or other members

This Agreement is governed by Minnesota law except for its conflicts of laws principles. You agree to resolve any disputes or claims arising from this Agreement, the Site, Software, or Services through final and binding arbitration by a single arbitrator. This includes disputes about the enforceability, revocability, or validity of this arbitration provision.

Notwithstanding this, either party may bring a lawsuit solely for injunctive relief to stop unauthorized use or abuse of the Site, Software, or Services, or violation of intellectual property rights. Such proceedings shall be brought in the federal or state courts in Hennepin County, Minnesota, and you irrevocably submit to exclusive jurisdiction of federal and state courts in Minneapolis, Hennepin County.

This provision does not apply to consumers in countries requiring agreements to be governed by local consumer law.

No waiver of any term, provision, or condition of the Agreement, whether by conduct or otherwise, constitutes a waiver of any other term, provision, or condition, or a continuing waiver. No waiver is binding unless executed in writing by the party making the waiver.

If any provision is determined to be illegal or unenforceable, it will be enforced to the maximum extent possible and other provisions remain fully effective.

This Agreement constitutes the complete and exclusive statement of agreement between you and Torrch, superseding all prior or contemporaneous communications, representations, statements, and understandings, whether oral or written.

18.1 App Store by Apple

For Software acquired from the App Store: This Agreement is solely between you and Torrch, not Apple. Apple has no responsibility for the Software or its content. Your use must comply with Apple’s App Store Terms of Service. Apple has no obligation to furnish maintenance and support.

If the Software fails to conform to any warranty, you may notify Apple, and Apple will refund the purchase price. Apple has no other warranty obligation. Any other claims, losses, liabilities, damages, costs, or expenses will be governed by this Agreement and applicable law.

Apple is not responsible for claims relating to the Software or your possession and use, including product liability claims, failure to conform to legal requirements, or consumer protection claims. Torrch is solely responsible for investigation, defense, settlement, and discharge of intellectual property infringement claims.

You and Torrch acknowledge that Apple and its subsidiaries are third-party beneficiaries of this Agreement as relates to the Software license. Upon accepting this Agreement, Apple has the right to enforce it as a third-party beneficiary.

18.2 Google Play Store

For Software acquired from the Google Play Store:

• This Agreement is between you and Torrch only, not Google, Inc.
• Your use must comply with Google’s Google Play Store Terms of Service
• Google is only the provider of the Google Play Store where you obtained the Software
• Torrch is solely responsible for its Software
• Google has no obligation or liability regarding the Software or Agreement
• Google is a third-party beneficiary to this Agreement as it relates to the Software

The service provider is Torrch LLC, reachable at 651-407-1904. California residents may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112 Sacramento, CA 95834, by phone at (800) 952-5210 or (916) 445-1254.

The following terms apply to any business, seller, or other service provider that creates an account with Torrch or uses the Services.

1. Compliance with Legal Obligations

You are solely responsible for ensuring compliance with all federal, state, and local rules, laws, and regulations, including privacy requirements, licensing requirements, anti-discrimination laws, anti-spam laws, and tax requirements. Such laws include COPPA, HIPAA, FERPA, the Civil Rights Act of 1964, the Age Discrimination in Employment Act, the Americans with Disabilities Act, and other applicable laws. You are solely responsible for determining the applicability and compliance requirements.

2. Independent Organization

You acknowledge no employer-employee relationship, partnership, joint venture, agency, or other relationship exists. You and your organization are independent of Torrch for all purposes, including taxes, Social Security, retirement benefits, unemployment insurance, and reporting requirements.

3. No Guarantee

You acknowledge that Torrch provides no guarantee that Site users will purchase or utilize goods or services from you.

4. Reviews and Recommendations

To the extent the Services provide users the opportunity to provide reviews, recommendations, or similar content regarding businesses, providers, or organizations, you acknowledge that Torrch does not undertake to evaluate, confirm, investigate, or monitor such reviews, recommendations, or statements.

5. Jobs and Employers

The Services may provide opportunity for employers to solicit job applicants or for users to solicit potential job placements. You acknowledge that Torrch has no control over, or obligation to evaluate, confirm, investigate, or monitor content related to employment solicitations. Torrch does not conduct background checks, evaluate resumes, or review information accuracy.

6. Indemnification

Contractor shall indemnify, defend, and hold harmless Torrch and its affiliates, respective officers, directors, employees, agents, successors, and assigns from any claims, judgments, damages, liabilities, settlements, losses, expenses, and costs, including attorneys’ fees, arising from communications, contact, goods, or services with any Torrch user or provided to any Torrch user.
